Organization Bylaws
The following bylaws govern the operations of the Missouri Alliance of Professional Bail Agents. These bylaws establish the framework for membership, leadership, meetings, and the conduct of organizational business.
Article I: Name and Purpose
Section 1. Name. The name of this organization shall be the Missouri Alliance of Professional Bail Agents, hereinafter referred to as "MAPBA" or "the Alliance."
Section 2. Purpose. The purpose of MAPBA is to:
- Promote ethics and professional standards in the bail bond industry
- Provide education and training for bail bond agents
- Represent the interests of bail bond professionals to legislators and regulators
- Foster positive relationships with the judiciary and law enforcement
- Maintain affiliation with The Professional Bondsmen of the United States
Article II: Membership
Section 1. Eligibility. Membership is open to licensed bail bond agents in good standing in the State of Missouri.
Section 2. Classes of Membership.
- Regular Member: Any licensed bail bond agent who has paid annual dues.
- Associate Member: Individuals or businesses affiliated with the bail bond industry.
Section 3. Dues. Annual membership dues shall be set by the Board of Directors and approved by the membership.
Section 4. Termination. Membership may be terminated for non-payment of dues or violation of the Code of Ethics.
Article III: Board of Directors
Section 1. Composition. The Board of Directors shall consist of the President, Vice President, Secretary/Treasurer, and such other directors as may be elected by the membership.
Section 2. Terms. Board members shall serve two-year terms and may be re-elected.
Section 3. Duties. The Board shall:
- Manage the affairs of the organization
- Set policy and strategic direction
- Oversee financial matters
- Appoint committees as needed
Article IV: Officers
Section 1. Officers. The officers of MAPBA shall be:
- President
- Vice President
- Secretary/Treasurer
Section 2. Election. Officers shall be elected by the membership at the annual meeting.
Section 3. Duties of the President. The President shall:
- Preside at all meetings of the membership and Board
- Represent MAPBA in official capacities
- Appoint committee chairs
- Perform other duties as necessary
Article V: Meetings
Section 1. Annual Meeting. An annual meeting of the membership shall be held each year at a time and place determined by the Board.
Section 2. Special Meetings. Special meetings may be called by the President or by petition of 25% of the membership.
Section 3. Quorum. A quorum shall consist of 25% of the voting membership.
Section 4. Voting. Each regular member in good standing shall be entitled to one vote.
Article VI: Committees
Section 1. Standing Committees. The Board may establish standing committees including but not limited to:
- Legislative Committee
- Education Committee
- Ethics Committee
- Membership Committee
Section 2. Special Committees. The President may appoint special committees as needed.
Article VII: Amendments
Section 1. Procedure. These bylaws may be amended by a two-thirds vote of the members present at any annual or special meeting, provided that notice of the proposed amendment has been given to the membership at least 30 days prior to the meeting.
Article VIII: Dissolution
Section 1. In the event of dissolution, assets shall be distributed to a nonprofit organization with similar purposes, as determined by the Board.
